need help diagnosing lockup problem

I put together a P4 w Intel mb D845EPIL. CD Rom only peripheral, 512mb ram. Win XP pro.

It ran fine for a couple of months, then started locking up frequently. Thought it might be a virus, but have ruled that out. Even installed a new hd. Same thing. Figured it must be the mobo, so I bought a new one, same model. Swapped the ram out for one that was running fine. Replaced the ide cables, just for the heck of it. Problem persists. Re-installed xp on the new drive and it runs through the whole install successfully, but hangs on final reboot. I can then turn power off and restart and Windows runs.

Thought it might be overheating, but nothing seems hot, all fans operational. When I installed new mobo I removed old heatsink and reapplied new. The only additional card is the AGP 64 mb. Could it be the offender? How bout the power supply? It's not hot and the fan is running. Everything has power. Could it be the CPU?

I am really puzzled and frustrated. Someone please save me...
